These Terms of Service (“Terms”) govern your access to and use of the website, software, APIs, tools, and services (collectively, the “Services”) provided by UGCEN (“Company”, “we”, “our”, or “us”). By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.
1. Eligibility and Acceptance
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use the Services on behalf of an organisation, you represent that you have authority to bind that entity to these Terms.
2. Description of Services
UGCEN provides a subscription-based AI-powered platform that enables users to create, manage, and publish user-generated style digital content, including text, images, audio, and video. Certain features may be subject to usage limits, credit allocations, or plan-specific restrictions.
We do not guarantee that the Services or any generated content will be accurate, complete, or suitable for any particular purpose.
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You may not share accounts, impersonate others, or use the Services for any illegal or unauthorised purpose.
4. Subscription Plans, Pricing, and Billing
4.1 Plans and Billing Cycle
UGCEN offers free and paid subscription plans. Paid plans may be billed on a monthly or annual basis and are billed in advance. Pricing, features, and credit allocations are displayed at the point of purchase and may vary by plan.
Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to renewal.
4.2 Cancellation
You may cancel your subscription at any time by navigating to Account Settings → Billing and following the cancellation instructions. Cancellation prevents future billing but does not automatically entitle you to a refund except as described below.
5. Refund Policy
5.1 Monthly Subscriptions
Monthly subscriptions are billed in advance and may be cancelled at any time. Upon cancellation, your subscription will remain active until the end of the current billing period.
We do not provide prorated or partial refunds for unused portions of a monthly billing cycle.
5.2 Annual Subscriptions
For annual subscriptions:
- Within 14 days of purchase: You may request a full refund for any reason, provided that the credits allocated to your plan have not been consumed.
- After 14 days but before the end of the annual term: We may, at our discretion, provide a prorated refund for unused full months, less a 20% early termination fee.
To request an annual plan refund, you must contact our billing team with your specific situation for review.
5.3 Special Circumstances
If you are cancelling due to verified technical issues or prolonged service unavailability, please contact our support team before cancelling so we may attempt to resolve the issue.
Educational and non-profit subscriptions follow the same refund policies unless otherwise stated in writing.
Enterprise plans are governed by custom terms set out in a separate written agreement.
All approved refunds are issued to the original payment method and may take 5–10 business days to process.
6. Plan Changes
You may change your subscription plan at any time through your account billing settings.
- Upgrading: Upgrades take effect immediately. You will be charged a prorated amount for the remainder of your current billing cycle.
- Downgrading: Downgrades take effect at the end of your current billing cycle.
- Team to Individual: Switching from a team plan to an individual plan will remove access to team-specific features at the end of the billing period.
- Free to Paid: Upgrading from a free plan provides immediate access to paid features.
Your project data and repositories will remain intact during plan changes unless otherwise stated.
7. Acceptable Use and Prohibited Content
You agree not to use the Services to create, upload, or distribute illegal, harmful, misleading, abusive, or infringing content. This includes content involving minors, fraud, hate speech, harassment, violence, misinformation, impersonation, or violations of intellectual property or privacy rights.
UGCEN reserves the right to remove content, suspend accounts, or terminate access for violations of this section.
8. User Content and AI-Generated Content
You retain ownership of content you upload (“Input”). Subject to applicable law, you are granted rights to use AI-generated content produced through the Services (“Output”).
Due to the nature of artificial intelligence, Outputs may not be unique, and similar content may be generated for other users.
UGCEN does not guarantee acceptance of Outputs by third-party platforms and is not responsible for account bans, content removals, or policy enforcement by external services.
9. Service Availability and Termination
The Services are provided on an “as-is” and “as-available” basis. We may modify, suspend, or discontinue any part of the Services at any time.
We reserve the right to suspend or terminate accounts immediately, without refund, for fraud, abuse, chargeback activity, or violations of these Terms.
10. Disclaimer and Limitation of Liability
To the fullest extent permitted by law, UGCEN disclaims all warranties, express or implied. UGCEN shall not be liable for indirect, incidental, consequential, or loss-of-profit damages.
Our total liability shall not exceed the amount paid by you to UGCEN in the twelve (12) months preceding the claim, or USD $1, whichever is greater.
11. Indemnification
You agree to indemnify and hold harmless UGCEN from any claims, losses, damages, or expenses arising out of your use of the Services, your content, AI-generated Outputs, or your violation of applicable laws or third-party rights.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of Singapore, without regard to conflict of law principles.
